Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PodcastPilot platform and services ("Service") operated by AIONIQS ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Service
PodcastPilot is a software-as-a-service platform that processes podcast episodes (audio and video) and generates content assets including blog posts, social media content, email newsletters, show notes, transcripts, video descriptions, and highlight clips.
3. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorised use of your account.
4. Subscriptions and Payment
4.1 Plans and Pricing
The Service offers subscription plans as displayed on our pricing page. Prices are in US Dollars (USD) and may be subject to applicable taxes.
4.2 Free Trial
New users may receive a 7-day free trial. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
4.3 Billing
- Subscriptions are billed monthly in advance through Stripe.
- Your subscription will automatically renew each billing period unless cancelled.
- You may cancel your subscription at any time from your account settings.
- Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.
4.4 Price Changes
We reserve the right to change pricing. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Your Content
5.1 Ownership
You retain full ownership of all content you upload to the Service ("Your Content"), including your podcast episodes and any original material contained therein. You also retain ownership of the generated outputs created from Your Content.
5.2 Licence to Us
By uploading content to the Service, you grant us a limited, non-exclusive, worldwide licence to process, store, and transmit Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete Your Content or your account.
5.3 Your Responsibilities
- You must own or have the necessary rights and permissions to upload and process the content you submit.
- You must not upload content that infringes the intellectual property rights of any third party.
- You must not upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- You are solely responsible for your use and distribution of the generated outputs.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable law.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use automated means (bots, scrapers) to access the Service beyond normal API usage.
- Resell, sublicence, or redistribute the Service without our written consent (except under white-label provisions of the Agency plan).
- Upload malware, viruses, or any harmful code.
7. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is the intellectual property of AIONIQS and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of the Service to you.
8. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal data in compliance with the GDPR and UK GDPR.
9. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
- We may perform scheduled maintenance with reasonable advance notice.
- We are not liable for any downtime, delays, or interruptions caused by circumstances beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that generated content will be error-free, accurate, or suitable for any particular purpose. You are responsible for reviewing and editing generated outputs before use.
- Our total liability to you for any claims arising from or relating to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify and hold harmless AIONIQS from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
- You may terminate your account at any time by cancelling your subscription and deleting your account.
- We may suspend or terminate your access if you violate these Terms, with notice where practicable.
- Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AIONIQS regarding the Service and supersede all prior agreements and understandings.
